1. Agreement to Terms

By accessing and using the Yuzu ALSP platform operated by Star Anise Limited (a company incorporated in Hong Kong SAR), you agree to be bound by these Terms and Conditions and all applicable laws and regulations of Hong Kong SAR. If you do not agree with any of these terms, you are prohibited from using this platform.

2. Service Description

Yuzu ALSP is an alternative legal services platform that connects clients with legal professionals including:

• Fractional general counsel services
• Interim legal counsel
• Legal managed services
• Compliance and risk advisory
• Corporate governance services

3. Professional Services Disclaimer

Star Anise Limited acts as a platform connecting clients with independent legal professionals. Yuzu ALSP is registered under Hong Kong laws as an employment agency under licence number 80114. We are not a law firm and do not provide legal advice directly. All legal services are provided by qualified legal professionals who are independently responsible for their work and compliance with applicable professional standards and regulations.

4. User Obligations

Users of the platform agree to:

• Provide accurate and complete information
• Maintain the confidentiality of account credentials
• Use the platform only for lawful purposes
• Not misuse or attempt to gain unauthorized access to the platform
• Comply with all applicable Hong Kong laws and regulations

5. Intellectual Property Rights

All content on this platform, including but not limited to text, graphics, logos, and software, is the property of Star Anise Limited or its licensors and is protected by Hong Kong and international copyright, trademark, and other intellectual property laws. Unauthorized use of any content may violate these laws.

6. Confidentiality

All information exchanged through the platform between clients and legal professionals is confidential. Users must maintain the confidentiality of all sensitive information in accordance with professional standards and applicable laws, including the Legal Practitioners Ordinance (Cap. 159) of Hong Kong.

7. Limitation of Liability

To the fullest extent permitted by Hong Kong law, Star Anise Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform. Our total liability shall not exceed the fees paid by you for services in the six months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Star Anise Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the platform or violation of these Terms.

9. Payment Terms

All fees for services are quoted in Hong Kong Dollars (HKD) unless otherwise specified. Payment terms will be specified in individual service agreements. Late payments may incur interest charges at the rate prescribed under Hong Kong law.

10. Termination

We reserve the right to terminate or suspend access to the platform immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the platform will cease immediately.

11. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

12. Professional Conduct

All legal professionals on our platform must comply with the professional conduct rules applicable to their jurisdiction, including the Code of Conduct for solicitors in Hong Kong and relevant regulatory requirements.

13. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the platform. Your continued use of the platform after changes constitutes acceptance of the modified Terms.

14. Currency Conversion and Pricing

Any currency amounts stated on this website are approximations only and do not constitute an offer. Currency conversions are provided for convenience and are based on prevailing exchange rates which fluctuate constantly. All pricing and service engagements are customised to suit each client's individual needs and will be confirmed in writing in the applicable service agreement. Actual fees may vary based on scope, complexity, and specific requirements of each engagement.

Rate Calculations: Where daily rates are referenced, these are based on 8 hours per working day. Where monthly rates are referenced, these are based on 20 business days per month at 8 hours per day (160 hours per month). All rates are subject to detailed scope definition and may vary based on the specific requirements of each engagement.
