What is fractional counsel?

Fractional counsel is a senior legal professional engaged part of the time rather than employed full time. The term is broader than fractional General Counsel: a fractional counsel engagement might support a legal department's existing team, run a contracts function, or provide senior cover while a company searches for a permanent hire. The defining features are seniority and part-time commitment: this is not a temp contract worker but an experienced operator, bought at the seniority the work needs, for the days the work takes. Companies use the model in three situations. First, the gap: a GC or Head of Legal leaves, and the company needs senior cover tomorrow, not after a four-month search. Second, the peak: a transaction, a product launch or a regulatory programme temporarily doubles the workload. Third, the deliberate choice: the company concludes it never needed the full-time role, only the capability, and structures the engagement around days per month.

What the work looks like

A fractional counsel engagement typically covers contract negotiation support, contract template and playbook design, vendor and commercial negotiations, compliance programme operations, and management of external counsel relationships, including the decisions about which matters genuinely need a law firm. In Hong Kong and Singapore, much of this work is commercial operations rather than regulated advice, which is precisely why it transfers well to flexible models. The reserved work, formal legal opinions, court representation, advice on local law for reward, still belongs to qualified practitioners, and a properly scoped engagement draws that line explicitly.

Why the model spread through Asia

Three regional forces pushed adoption. Cost discipline: after several lean years, permanent headcount approvals slowed while the workload did not. Market maturity: the ALSP sector in Hong Kong and Singapore reached the point where senior operators were genuinely available through flexible channels. And a change in expectations: boards increasingly accept that capability can be rented honestly, and that a fractional executive who has run the same function at four other companies often brings more pattern recognition than a first-time permanent hire.

How to buy it well

Buyers should ask three questions of any provider. Who exactly does the work: named individuals with track records, or an opaque pool. How is the scope defined: days and outputs, or vague availability. And where is the regulatory line: a provider that cannot state clearly what it does not do is a provider that has not thought carefully about its clients' exposure. The best engagements start small, a defined project with measurable output, and expand on evidence.

The Yuzu equivalent

Yuzu ALSP delivers senior fractional capability under commercial titles, scoped around contracts, commercial risk and operations. A Fractional Chief Strategy Officer or Chief Operating Officer engagement puts a named senior operator with the company for defined days, owning the commercial function end to end. Where a matter requires regulated advice on Hong Kong or Singapore law, the client instructs qualified counsel and Yuzu manages the operations around it. The positioning is deliberate: the same capability, titled as what the work actually is.

Frequently asked questions

Is fractional counsel the same as a consultant?

It overlaps, but the engagement is closer to a part-time executive: an owner of a function with defined days, not an adviser who delivers a document and leaves.

How many days a week is typical?

Engagements commonly run from two days a week to four days a month, scoped to the function's real workload and reviewed quarterly.

Can a fractional engagement convert to a permanent hire?

Often, and it is a low-risk way to hire: both sides learn the real shape of the role before committing to it permanently.
